Warner Music Group and EMI to Form World's Premier Music Group EMI Group plc[1] and Time Warner Inc. announced on January 24 that they have reached agreement to form the world's premier[2] music group by combining their recorded music and music publishing businesses into a global joint venture. The new company, Warner EMI Music, will have broad domestic and international holdings; a roster[3] that includes many of the world's most popular artists; and complementary[4] strengths in recorded music, talent management, content and copyright origination and ownership, promotion and public relations, manufacturing, packaging, distribution. The global joint venture will be owned equally by Time Warner and EMI Group. The transaction involves EMI and Time Warner contributing their respective music businesses to the joint venture. EMI will transfer its net debt to Warner EMI Music (930 million pounds, or $1.5 billion, as of September 30, 1999) at completion and Time Warner will transfer a comparable level of debt adjusted for interim activity through closing.
